Terms of Service

These Terms are a binding agreement between you (the business using Kaidn) and Kaidn. They cover a technical risk-scoring service sold to businesses. Please read section 8 (Kaidn is not a decision-maker) and section 12 (Limitation of liability) carefully — they define what Kaidn is and is not responsible for.

1. Agreement to these terms

“Kaidn”, “we”, “us” and “our” refer to the provider of the Kaidn service available at kaidn.io and api.kaidn.io (the “Service”). “You”, “your” and “Customer” refer to the business or individual acting in a business capacity that registers for or uses the Service.

By creating an account, generating an API key, or using the Service, you agree to these Terms, our Privacy Policy and Refund Policy, each incorporated by reference. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation.

2. Eligibility and business use only

The Service is offered strictly for business and professional use. It is not a consumer product, is not directed at consumers, and is not intended for personal, family or household purposes. By using the Service you confirm that you are at least 18 years old and are using it in the course of a trade, business, craft or profession.

3. What the Service does

Kaidn accepts an event describing an action taken by one of your end users and returns a numeric risk score, a suggested verdict (allow, review or block) and human-readable “reasons”. Scores are produced by deterministic rules operating on signals such as IP reputation, device reuse, request velocity, email characteristics and geolocation. An AI layer may translate those signals into plain-language explanations.

The Service is provided as a hosted API and web dashboard. We may add, change, deprecate or remove features, checks, signals, models, reason codes, endpoints and default weights at any time as we improve the Service, provided we do not materially reduce the core scoring functionality of a paid plan during a period you have already paid for.

4. Accounts, API keys and security

  • You are responsible for all activity that occurs under your account and API keys, whether or not authorised by you.
  • API keys are secrets. Keep them confidential, do not embed them in public client-side code, and rotate them if you suspect exposure. We store only a hash of each key and cannot recover a lost key — we can only issue a new one.
  • You must provide accurate registration information and keep it current.
  • Notify us promptly at support@kaidn.io of any suspected unauthorised access.

5. Acceptable use

You agree not to, and not to permit any third party to:

  • use the Service unlawfully, or in violation of any applicable law, regulation, sanctions regime or third-party right;
  • submit data you do not have a lawful basis and the necessary rights, consents or notices to submit and have processed (see section 7);
  • use the Service as the sole or automated basis for a decision that produces legal or similarly significant effects on an individual, or to unlawfully discriminate against any person or group, including on the basis of a protected characteristic;
  • use the Service for credit scoring, employment, insurance, housing, or any use regulated as a consumer report or background-screening service, unless you have separately arranged this with us in writing;
  • attempt to reverse engineer, resell, sublicense, or build a competing risk-scoring product from the Service or its outputs;
  • probe, scan, overload, circumvent rate limits, or interfere with the integrity or performance of the Service;
  • upload malware, or use the Service to harass, defame, or harm others.

We may investigate suspected violations and may suspend or terminate access to protect the Service or third parties.

6. Plans, fees and payment

Current plans and prices are shown on our pricing page. A free tier is available with usage limits. Paid subscriptions are billed in advance on a recurring basis (monthly or annually) and renew automatically until cancelled.

Payments are processed by Paddle.com Market Limited, which acts as the Merchant of Record / authorised reseller for purchases of the Service. Your purchase is therefore also subject to Paddle’s buyer terms and privacy notice. Paddle handles payment, invoicing and the collection and remittance of applicable taxes (such as VAT and sales tax). We never receive or store your full card details.

  • Prices exclude taxes unless stated; taxes are added at checkout where applicable.
  • We may change prices or plan limits on renewal by giving at least 30 days' notice; changes do not affect a period you have already paid for.
  • If usage exceeds your plan's limits, we may throttle requests, queue overage for billing at the published rate, or ask you to upgrade.
  • Fees are non-refundable except as set out in our Refund Policy or required by law.

7. Your data and end users

“Customer Data” means data you submit to the Service, including data about your end users. As between you and Kaidn, you own your Customer Data and are its data controller; Kaidn processes it as your service provider / processor on your instructions to provide the Service, as described in the Privacy Policy.

You represent and warrant that:

  • you have all rights, consents, notices and a valid lawful basis needed to collect the data and to have Kaidn process it for fraud prevention and risk scoring;
  • your use of the Service and the resulting scores complies with all laws applicable to you, including data-protection, consumer-protection, anti-discrimination and financial-services laws;
  • you will provide your end users with any privacy notice required by law describing this processing.

Aggregated data. You grant us a licence to use data derived from your use of the Service in de-identified and aggregated form — including cross-network fraud signals that do not identify you or any individual — to operate, secure, improve and develop the Service, including our shared fraud-detection graph. We do not sell your Customer Data, and we do not disclose your raw Customer Data to other customers.

8. Kaidn provides signals, not decisions

This section is important. Kaidn is a decision-support tool. A score, verdict or reason is a probabilistic signal, not a factual determination, legal conclusion, or instruction.

  • You are solely responsible for any action you take or do not take in reliance on the Service — including approving, reviewing, blocking, or declining any user, transaction or payout.
  • The Service can and will produce false positives and false negatives. No fraud system is perfect, and we do not warrant any particular accuracy, detection rate, or business outcome.
  • The Service is not identity verification, KYC, AML/CTF, sanctions screening, credit reporting, or background screening, and must not be relied on to meet any legal or regulatory obligation of that kind.
  • The Service does not provide legal, financial, compliance or professional advice.
  • You should maintain meaningful human review and your own independent controls, and give affected individuals any recourse or explanation the law requires.

9. Intellectual property

We and our licensors own all rights in the Service, including its software, models, rules, data lists, documentation, and branding. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription in accordance with these Terms. You retain your rights in your Customer Data. Any feedback you give us may be used without restriction or obligation to you.

10. Third-party services and data

The Service relies on third-party sources and infrastructure (for example IP-intelligence data, hosting, and payment processing). Third-party data may be incomplete or inaccurate, and third-party services are outside our control. We are not responsible for third-party services, and your use of them may be subject to their own terms.

11. Availability, beta features and support

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Any uptime commitment applies only where expressly stated in a written service level agreement for your plan. We may perform maintenance and may suspend the Service where reasonably necessary for security or integrity. Features labelled beta, preview or experimental — including AI-generated reasons — are provided “as is” and may change or be withdrawn. Support is provided at the level described for your plan.

12. Disclaimer of warranties

Except as expressly stated in these Terms, the Service is provided “as is” and “as available”, with all faults, and without warranties of any kind, whether express, implied or statutory, to the fullest extent permitted by law. We specifically disclaim any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement, and any warranty that the Service will detect fraud, prevent loss, or meet your requirements.

13. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud). Subject to that:

  • Neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, data, or anticipated savings, or for fraud losses, chargebacks, fines, or business interruption, however arising, even if advised of the possibility.
  • Our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the total fees you actually paid to us for the Service in the three (3) months immediately before the event giving rise to the claim, or (b) USD 100.

You acknowledge that the fees reflect this allocation of risk, and that we would not provide the Service on these prices without these limits.

14. Indemnity

You will defend, indemnify and hold harmless Kaidn and its personnel from and against any claims, liabilities, damages, losses and costs (including reasonable legal fees) arising out of or related to: (a) your Customer Data or your submission of it; (b) your use of the Service or any decision you make in reliance on it; (c) your breach of these Terms or of any law; or (d) a claim by any of your end users or a regulator relating to your use of the Service.

15. Suspension, termination and cancellation

You may cancel at any time from your account or by contacting us; cancellation takes effect at the end of your current billing period, as described in the Refund Policy. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, create risk or legal exposure for us or others, or use the Service in a way we reasonably believe is harmful or unlawful. On termination, your right to use the Service ends and we may delete your data after a reasonable period. Sections that by their nature should survive (including 7–9 and 12–17) survive termination.

16. Changes to these terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice (for example by email or an in-product notice) before it takes effect. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, stop using the Service and cancel.

17. Governing law and general terms

  • These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer or data-protection rights you may have where you are located.
  • If any provision is found unenforceable, the rest remains in effect and the provision is modified to the minimum extent necessary.
  • Our failure to enforce a right is not a waiver of it.
  • You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
  • Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure).
  • These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between us regarding the Service and supersede any prior agreement on that subject.
  • There are no third-party beneficiaries to these Terms.
